Penalty1, if contractual delivery day postponed due to factory's reason except force-majeure, Customer has rights to get the compensation by portion from factory based on the followings: (1) factory has ten days grace period(2) Starting from the eleven days after delivery day postponed, every day's penalty for factory is the whole contract amount's 0.1%. 2, if contractual payment day postponed due to Part A's reason except force-majeure, factory has rights to get the compensation by portion from Customer based on the followings: (1) Customer has ten days grace period(2) Starting from the eleven days after payment day postponed, every day's penalty for Customer is the whole contract amount's 0.1%. 3, the above mentioned penalty total amount can not be exceeding the whole contract amount's 5%. Force Majeure: We factory shall not be held responsible for late delivery of the goods owing to generally recognized Force Majerue. Factory should notice Customer by oral immediately. 15 days later after force Majerue happens, and post customer the written proof documents from the related departments. If force manjerue keeps more than 60 days, Customer can cancel the contract. Factory should return the payment. Contract amendmentAny changes for the contract clauses, a written contract amendment must be signed by both parties. ArbitrationIf there is dispute during contract implementation, we should settle through negotiation made in the principle of fair cooperation. If not, the case under dispute shall be submitted for arbitration. Which has the same equally binding to both Parties, The cost of arbitration shall be borne by the losing party. During the arbitration, the non-dispute portion of the contract continues to implement except the arbitration part.
